1. Introduction

These Terms and Conditions (“Terms”) govern the use of the Invoicer application (“Application” or “Platform”), owned and operated by VEVEN SOFTWARE SRL (“Provider” or “We”). By accessing and using the platform, the user (“User”, “You”) declares that they have read, understood and fully accepted these terms. If you do not agree with any of the provisions of this document, do not use the Invoicer application.

2. Purpose and functionalities of the platform

Invoicer is a software application that allows complete management of invoicing processes, contracts, customers and payments in a secure digital environment. Main functionalities include: ∙ Creation, registration and updating of contracts; ∙ Generation and transmission of invoices to customers; ∙ Registration of payments and tracking of their status; ∙ Administration of contact data, fiscal and bank data of customers; ∙ Export and storage of accounting documents (PDF, XML etc.); ∙ Viewing financial reports and transaction history. The platform is intended for legal entities and professionals who carry out economic activities and want to manage their financial flow in an efficient and transparent manner.

3. Account creation and management

To use the application, it is necessary to create a user account. The user undertakes to provide real, complete and updated information, including: ∙ Company name; IDNO / CUI / Tax code; Legal address; ∙ Contact details (email, phone); Bank details (IBAN, BIC/SWIFT, commercial bank). The user is responsible for: ∙ account security and maintaining the confidentiality of authentication data; ∙ all actions performed in his account; the correctness of the data entered in the system. The Provider is not responsible for losses, errors or damages caused by unauthorized access to the account due to the user's fault.

4. User rights and obligations

The user has the right to: ∙ use the application exclusively for legitimate commercial purposes; ∙ access the data entered in his account; ∙ export and save the generated documents (invoices, contracts, reports). The user undertakes not to: ∙ use the application for illegal or fraudulent activities; ∙ enter false, erroneous or data belonging to other persons; ∙ attempt to modify, decompile, copy or resell the application; compromise the security of the platform or the data of other users.

5. Processing of data entered in the platform

By using the application, the user uploads and manages commercial information, such as: ∙ the data of his own company (the issuer of invoices); the data of clients and partners (the beneficiaries of invoices); ∙ contracts, amounts, payments, bank accounts, IBAN codes, BIC/SWIFT, contact details etc. This information is processed only for the purpose of providing Invoicer services and remains the exclusive property of the user. The Provider acts as a technical operator (data processor), according to the data protection legislation, and does not access, modify or transmit this data to third parties, except in cases provided by law (e.g. requests from the competent authorities).

6. Data security and confidentiality

The provider implements technical and organizational measures to protect user data, including: ∙ encryption of communications via SSL/TLS protocol; storing data on secure and monitored servers 24/7; ∙ automatic daily backup; ∙ secure authentication and data access control. However, the Provider cannot guarantee absolute security, the user understanding that any online system may be exposed to inevitable cyber risks.

7. Intellectual property

All copyrights, trademarks, logos, source code, graphic interface and visual content of the application are the exclusive property of the Provider. The user receives a non-exclusive and non-transferable license to use the application, according to the chosen subscription plan. It is forbidden to copy, redistribute or use the application outside the legal framework or without the written agreement of the Provider.

8. Billing, payments and subscriptions

The Invoicer application can be used on a monthly subscription basis All payments are made in [currency – ex. RON / EUR / MDL] and may include VAT, depending on the applicable legislation. Failure to pay the subscription on time may lead to temporary suspension of access to the account until the situation is regularized. The Provider reserves the right to modify the fees, offers and payment conditions, by notifying the users at least 7 days before the changes come into effect.

9. Limitation of liability

The Provider does not guarantee uninterrupted availability of the platform, but undertakes to make every effort to ensure normal operation. The provider cannot be held responsible for: ∙ data losses caused by external factors (hardware malfunctions, cyber attacks, network errors, etc.); ∙ errors resulting from data entered incorrectly by the user; ∙ misinterpretation of the information generated by the application; ∙ possible indirect damages (loss of profit, reputation or business opportunities).

10. Termination of use

The Provider may periodically update these terms. Any changes will be announced to users by email or directly in the application, and continued use of the platform constitutes acceptance of the new conditions.

11. Modification of terms

The user may request the closing of the account at any time, through the application interface or through an email sent to the Provider. The Provider reserves the right to suspend or delete the accounts of users who: ∙ violate the provisions of these terms; ∙ do not pay the subscription within the established term; ∙ use the application for abusive or fraudulent purposes.

12. Applicable law and jurisdiction

These terms are governed by the legislation of the Republic of Moldova. Any dispute will be settled amicably, and if an agreement is not reached, the jurisdiction belongs to the courts of the municipality of Chisinau.
